These Terms and Conditions (“Terms”) govern your access to and use of Voice AgentX,
a product and intellectual property developed and owned by Orbitmind AI (OPC) Pvt.
Ltd. (“Company,” “we,” “our,” or “us”).
By visiting our website, contacting us, purchasing our services, using Voice AgentX, or engaging with
us for software deployment, integrations, automation setup, or technical support, you agree to these
Terms.
If you do not agree with these Terms, you should not use our website, services, or Voice AgentX
systems.
1. About Voice AgentX
Voice AgentX is a software product developed under Orbitmind AI (OPC) Pvt. Ltd.
Voice AgentX may include AI voice agents, business automations, backend database setup, workflow
systems, dashboards, third-party integrations, and related technical services.
Our standard business model is based on one-time software deployment for clients. We
may also provide optional monthly support for troubleshooting, technical support, workflow updates,
and upgrades to the existing deployed system.
Unless otherwise agreed in writing, Voice AgentX is not sold as ownership transfer of the underlying
product, source code, brand, workflows, templates, system architecture, or intellectual property.
2. Services We Provide
Depending on the client’s package, requirements, and written agreement, we may provide:
- One-time deployment of Voice AgentX software
- AI voice agent setup
- n8n automation workflow setup
- PostgreSQL backend/database setup
- Retell AI voice agent configuration
- Third-party integrations
- Dashboard or monitoring system setup
- WhatsApp Business API integration
- Twilio integration
- Google Calendar or Calendly integration
- CRM or lead management integration
- Technical support
- Troubleshooting
- Workflow updates or upgrades
- Documentation or basic usage guidance
The exact scope of work, deliverables, timelines, pricing, and support terms will be agreed
separately through proposal, invoice, contract, email, or written communication.
3. One-Time Deployment Model
Voice AgentX is primarily provided as a one-time deployment service.
This means we set up and deploy the agreed software system for the client based on the agreed scope.
After deployment, the client is responsible for managing their own server, accounts, API keys,
third-party tools, data, users, credentials, and ongoing business usage unless they have purchased
optional support from us.
A one-time deployment does not automatically include unlimited future changes, unlimited support,
custom feature development, or ongoing maintenance unless expressly stated in writing.
4. Optional Monthly Support
Monthly support is optional and may be purchased separately.
Monthly support may include:
- Troubleshooting
- Bug fixing
- Technical assistance
- Minor workflow updates
- Existing system improvements
- Updates to deployed workflows
- Assistance with connected tools
- Support related to the already deployed Voice AgentX system
Monthly support does not automatically include:
- Major new feature development
- Complete redesign of the system
- New product development
- Unlimited custom automation requests
- Unlimited third-party tool changes
- Client-side staff training beyond the agreed scope
- Paid third-party tool costs
- Emergency support unless agreed separately
We may define different support plans, response times, and support limitations depending on the
client agreement.
5. Client-Owned Hosting and Infrastructure
Voice AgentX is generally deployed on the client’s own server, hosting account, cloud account,
database, or private infrastructure.
The client is responsible for:
- Server costs
- Hosting costs
- Database costs
- Domain and DNS management
- API keys
- Third-party tool accounts
- Payment of third-party subscriptions
- Security of their own infrastructure
- Access permissions
- Backups
- Data retention and deletion
- Internal user management
- Compliance with applicable laws
We may assist with setup or technical configuration, but the client remains responsible for
maintaining and securing their own infrastructure.
6. Third-Party Tools and Integrations
Voice AgentX may use or integrate with third-party services, including but not limited to:
- Retell AI
- n8n
- PostgreSQL
- Twilio
- WhatsApp Business API
- Google Calendar
- Calendly
- Dodo Payments
- CRM platforms
- Email platforms
- Cloud hosting providers
- Other APIs or tools requested by the client
These third-party services are not owned or controlled by Orbitmind AI unless expressly stated.
The client is responsible for reviewing and complying with the terms, pricing, usage limits, privacy
policies, and legal requirements of all third-party tools used in their Voice AgentX system.
We are not responsible for downtime, errors, pricing changes, account suspensions, API changes, data
loss, service limitations, or policy changes caused by third-party platforms.
7. Payments and Fees
Fees for Voice AgentX services may include one-time deployment fees, optional support fees,
customization fees, integration fees, maintenance fees, or other service charges.
Payment terms will be provided through invoice, proposal, checkout page, contract, or written
communication.
We may use Dodo Payments or other payment processors to collect business-related
payments.
Unless otherwise agreed in writing:
- Payments must be made according to the agreed invoice or payment schedule.
- Work may begin only after the required advance or full payment is received.
- Final delivery, deployment, handover, or access may be subject to completion of pending
payments.
- Monthly support, if purchased, must be paid on time to continue receiving support.
- Third-party tool costs are separate from our service fees unless expressly included in writing.
8. Refunds and Cancellations
Because Voice AgentX involves custom software setup, deployment, configuration, automation work,
third-party integration, and technical service time, payments are generally non-refundable once work
has started.
Refund eligibility, if any, will depend on the written agreement, project stage, work completed, and
reason for cancellation.
Unless otherwise agreed in writing:
- Advance payments are non-refundable after project work has started.
- Completed setup, configuration, automation, deployment, or consulting work is non-refundable.
- Monthly support fees are non-refundable once the support period has started.
- No refund will be provided for issues caused by client-side server problems, third-party tool
failures, expired API keys, unpaid third-party subscriptions, or unauthorized changes made by
the client.
We may consider refunds at our sole discretion where required by law or where we determine it is fair
based on the circumstances.
9. Client Responsibilities
The client agrees to:
- Provide accurate business and project information
- Provide timely access to required tools, accounts, APIs, servers, and credentials
- Maintain their own server and third-party accounts
- Pay all agreed fees on time
- Review and approve deliverables within reasonable timelines
- Use Voice AgentX legally and responsibly
- Obtain all required customer, lead, caller, or user consents
- Provide required privacy notices to their own users
- Comply with call recording, AI disclosure, telecom, marketing, spam, privacy, and data
protection laws
- Secure their own passwords, API keys, dashboards, servers, and accounts
- Avoid making unauthorized modifications that may break the system
- Inform us promptly of technical issues during the support period
Delays caused by the client, missing information, unavailable credentials, third-party account
issues, or delayed approvals may affect project timelines.
10. AI Voice Agent Usage
Voice AgentX may include AI voice agents that interact with leads, customers, users, or callers on
behalf of the client.
The client is responsible for ensuring that AI voice agents are used lawfully and ethically.
The client must ensure that:
- Users are informed when required that they are speaking with an AI system
- Call recording notices are provided where required
- Consent is obtained where required
- The AI agent is not used for illegal, fraudulent, deceptive, abusive, or harmful purposes
- The AI agent does not impersonate a real person in a misleading or unlawful manner
- The AI agent is monitored and tested before production use
- The AI agent’s responses are reviewed and updated where necessary
AI systems may produce incorrect, incomplete, unexpected, or unsuitable responses. The client is
responsible for supervising the use of AI agents in their business operations.
11. Data Ownership and Responsibility
For data collected or processed through a client’s deployed Voice AgentX system, the client is
generally responsible for determining the lawful basis for collecting and processing such data.
Orbitmind AI does not claim ownership over client data.
The client is responsible for:
- Data collection
- Data accuracy
- Data access
- Data deletion
- Data retention
- Data backups
- Data security
- Legal compliance
- Responding to customer or user data requests
We may access client data only where needed for setup, troubleshooting, support, maintenance, or as
otherwise agreed with the client.
12. Intellectual Property Rights
Voice AgentX is a product and intellectual property developed and owned by Orbitmind AI (OPC) Pvt.
Ltd.
All rights, title, and interest in Voice AgentX remain with Orbitmind AI, including but not limited
to:
- Software architecture
- Workflows
- Templates
- Automation logic
- Prompt structures
- System designs
- UI/UX designs
- Documentation
- Brand assets
- Business processes
- Source code, unless expressly transferred in writing
- Product name, logo, and related intellectual property
Purchasing a Voice AgentX deployment does not give the client ownership of the Voice AgentX product,
brand, reusable workflows, templates, source code, or intellectual property unless expressly agreed
in a separate written contract.
Clients receive the right to use the deployed system for their internal business purposes according
to the agreed scope.
13. License to Use Deployed System
After full payment, we grant the client a limited, non-exclusive, non-transferable license to use the
deployed Voice AgentX system for their own business operations.
Unless otherwise agreed in writing, the client may not:
- Resell Voice AgentX as their own product
- Copy, clone, or redistribute the system
- Sell access to the system to third parties
- Reverse engineer the system
- Remove Orbitmind AI or Voice AgentX ownership notices
- Claim ownership of Voice AgentX intellectual property
- Use the system to create a competing product
- Transfer the system to another business without permission
Any white-label, reseller, agency, enterprise, or source-code arrangement must be agreed separately
in writing.
14. Acceptable Use
Clients and users agree not to use Voice AgentX for:
- Illegal activities
- Fraud or scams
- Spam or unauthorized marketing
- Harassment, threats, or abuse
- Impersonation or deception
- Collecting sensitive data unlawfully
- Violating telecom or call recording laws
- Sending messages without proper consent
- Infringing intellectual property rights
- Uploading malware or harmful code
- Attempting unauthorized access to systems
- Damaging, disabling, or overloading infrastructure
- Any activity that violates applicable laws or third-party platform policies
We reserve the right to refuse service, suspend support, or terminate access where we believe Voice
AgentX is being misused.
15. No Guarantee of Results
Voice AgentX is designed to help businesses improve communication, automation, lead handling,
appointment booking, and workflow efficiency.
However, we do not guarantee specific business results, revenue, conversion rates, lead quality,
booking rates, customer responses, or sales outcomes.
Results may depend on many factors outside our control, including:
- Client’s offer
- Market conditions
- Lead quality
- Script quality
- Customer behavior
- Industry
- Ad campaigns
- CRM data quality
- Third-party tool performance
- Client follow-up process
- AI model behavior
Any examples, demos, case studies, or projections are for illustration only and do not guarantee
future results.
16. Service Availability and Maintenance
For client-owned deployments, system availability depends on the client’s own server, hosting
provider, database, third-party tools, APIs, and configuration.
We are not responsible for downtime or performance issues caused by:
- Client hosting failure
- Client server misconfiguration
- Third-party API issues
- Expired or invalid API keys
- Payment failure for third-party tools
- Internet outages
- Unauthorized client-side changes
- Platform policy changes
- Software updates outside our control
If the client has an active support plan, we may assist in troubleshooting issues within the agreed
support scope.
17. Confidentiality
During project discussions, deployment, support, or troubleshooting, either party may share
confidential business, technical, operational, or customer-related information.
Both parties agree to take reasonable steps to protect confidential information and not disclose it
to unauthorized third parties, except where required by law or necessary to provide the agreed
services.
Confidentiality obligations do not apply to information that is publicly available, already known,
independently developed, or lawfully received from another source.
18. Limitation of Liability
To the maximum extent permitted by law, Orbitmind AI (OPC) Pvt. Ltd. will not be liable for indirect,
incidental, special, consequential, punitive, or business loss damages, including loss of revenue,
loss of profits, loss of leads, loss of data, loss of goodwill, or business interruption.
Our total liability for any claim related to Voice AgentX, our website, or our services will not
exceed the amount paid by the client to us for the specific service giving rise to the claim, unless
otherwise required by applicable law.
We are not responsible for losses caused by third-party tools, client-side systems, unauthorized
changes, misuse, legal non-compliance by the client, or infrastructure outside our control.
19. Indemnification
The client agrees to indemnify and hold harmless Orbitmind AI (OPC) Pvt. Ltd., its directors,
employees, contractors, partners, and representatives from any claims, damages, losses, penalties,
costs, or expenses arising from:
- Client’s use of Voice AgentX
- Client’s violation of these Terms
- Client’s violation of applicable laws
- Client’s misuse of AI voice agents or automation systems
- Client’s failure to obtain required consent
- Client’s customer or lead data
- Client’s third-party tool accounts
- Client’s marketing, telecom, call recording, or messaging practices
- Unauthorized modifications made by the client
- Claims made by the client’s customers, users, leads, or third parties
20. Termination
We may refuse, suspend, or terminate service or support if:
- The client fails to pay agreed fees
- The client misuses Voice AgentX
- The client violates these Terms
- The client uses the system for unlawful purposes
- The client breaches third-party platform rules
- The client makes unauthorized modifications that damage the system
- Continued service creates legal, technical, financial, or reputational risk for us
Termination of support does not automatically remove the client’s deployed system from their own
server, unless otherwise agreed. However, support, updates, troubleshooting, and future assistance
may stop after termination.
21. Changes to Services
We may improve, update, modify, or discontinue parts of our website, services, workflows, templates,
or product offerings from time to time.
For client-owned deployments, updates may depend on the client’s support plan, technical
compatibility, third-party tools, and agreed scope.
We are not obligated to provide all future features, upgrades, or new versions unless included in the
client’s written agreement or support plan.
22. Changes to These Terms
We may update these Terms from time to time.
When we update these Terms, we will revise the “Last Updated” date at the top of this page.
Continued use of our website, services, or Voice AgentX after changes means you accept the updated
Terms.
23. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
Unless otherwise agreed in writing, any disputes arising from these Terms, Voice AgentX, or services
provided by Orbitmind AI (OPC) Pvt. Ltd. shall be subject to the jurisdiction of the courts located
in Ratnagiri, Maharashtra, India.
